Company Information:

1. Application of These Terms

  • These general sales and delivery terms form an integral part of all agreements and deliveries made between LP Racks ApS and the buyer.
  • The buyer ("Buyer") can be a private individual ("Consumer") or a business customer ("Company") requesting an offer from LP Racks ApS.
  • By entering into an agreement, the buyer unconditionally accepts the validity of these terms for both current and future transactions.
  • Any order placed by the buyer constitutes unconditional and exclusive acceptance of these terms, regardless of any conflicting terms from the buyer.
  • Any deviations from these terms are only valid if accepted in writing by LP Racks ApS.

2. Ordering and Conclusion of Agreement

  • The buyer may place an order or request an offer via the webshop or by direct contact.
  • An agreement becomes binding when LP Racks ApS confirms the receipt of the buyer’s order in writing.
  • LP Racks ApS reserves the right to reject an order within 10 days with written justification.

3. Payment

  • The purchase amount is due upon order placement. An invoice is issued simultaneously.
  • Payment options include MobilePay (Vipps), credit card, bank transfer, or PayPal.
  • MobilePay (Vipps): No. 27928
  • Credit Card: Secure and certified by PBS. Card details are never disclosed to LP Racks ApS.
  • PayPal: Only payments in DKK are accepted. A 4% fee applies.

  • All prices include VAT but exclude shipping. Transport costs are provided on the website and in offers.
  • Price adjustments may occur due to changes in raw material prices or supplier costs.
  • Invoices are accepted unless disputed in writing within 10 days.
  • Late payments incur interest:
  • For consumers: statutory interest rate.
  • For businesses: 8% interest according to the "Act on Late Payments".

4. Delivery and Transfer of Risk

  • Delivery occurs within the stated periods, which are indicative.
  • An order consisting of multiple items is shipped together, with the longest delivery time applying to the entire order.
  • Risk passes to the buyer upon receipt from the carrier.
  • The item must be inspected for damage before signing. Complaints must be made immediately. If damage is detected upon receipt, it must be noted on the freight document. Suspicion of hidden damage should also be noted.
  • Accepting the delivery without reservation voids any claim for transport damage.

5. Transport and Shipping

  • Smaller items are shipped as packages via PostNord, DSV, or another carrier.
  • Larger items are pallet-shipped via DACHSER, DSV, or Danske Fragtmænd.
  • For private deliveries, the buyer must be present to receive and sign for the item. If the item is left without signature, the buyer assumes all risk.

6. Right of Withdrawal

  • Consumers have a 14-day right of withdrawal from receipt.
  • The right does not apply to custom-made products, including PREORDER and specially ordered items.
  • Withdrawal must be clearly communicated via email to LP Racks ApS.
  • The buyer pays for return shipping and bears the risk.
  • Refunds are processed no later than 14 days after receipt of the returned item. Shipping costs and payment fees are non-refundable.
  • Returned goods must be unused and in their original packaging.
  • LP Racks ApS reserves the right to refuse returned goods that are used, damaged, or not in original packaging.

7. Retention of Title

  • Goods remain the property of LP Racks ApS until full payment, including costs and interest, is received.
  • Goods must not be sold, pledged, or transferred before full payment.

8. Intellectual Property Rights

  • All intellectual property rights to drawings, texts, designs, etc., belong to LP Racks ApS and may not be shared, copied, or altered without written permission.

9. Complaints

  • Defects must be reported within a reasonable time.
  • Visible defects: Must be reported within 10 days of receipt. Visible defects include dents, misalignment, surface flaws, or other noticeable issues.
  • Hidden defects: Must be reported as soon as possible and no later than 10 days after discovery.
  • Defects must be documented to LP Racks ApS.
  • Warranty period: 2 years in Denmark, 1 year in other countries.
  • The warranty does not cover:
  • Normal wear and tear
  • Incorrect use
  • Accidents, neglect, or unauthorized repairs
  • Rust on aluminum/steel products
  • In case of complaints, the item must be returned properly packaged at the buyer's expense and risk.
  • Both seller and buyer are obliged to be sued at the court or arbitration tribunal handling claims based on damage allegedly caused by the material. Disputes between seller and buyer are always resolved through arbitration according to clause 40.

10. Liability for Damage to Property Caused by the Goods:

According to NL 92, clauses 36:
  • 36. The Buyer shall indemnify and hold the Seller harmless to the extent that the Seller incurs liability towards any third party in respect of any damage for which the Seller is not liable towards the Buyer according to the second and third paragraphs of this Clause.
The Seller shall not be liable for loss or damage caused by the goods:
  • a) to any (movable or immovable) property where the damage occurs while the goods are in the Buyer’s possession, or
  • b) to products manufactured by the Buyer or to products of which the Buyer’s products form a part or for loss or damage to any property, where the damage is caused by these products because of properties in the goods.

The Seller shall under no circumstances be liable for loss of production, loss of profit or any other consequential economic loss.
The above limitations in the Seller’s liability shall not apply where the Seller has been guilty of gross negligence.
If a claim for loss or damage as described in this Clause is raised by a third party against either party to the contract, the latter shall forthwith notify the other party thereof.
The Seller and the Buyer shall be mutually obliged to let themselves be summoned to the court or arbitral tribunal which examines claims against either of them, where the claim is based on damage alleged to have been caused by the goods.
The liability as between the Seller and the Buyer shall, however, always be settled by arbitration in accordance with Clause 40.

11. Grounds for Relief (Force Majeure)

According to NL 92, clauses 37-39:
  • 37. The following circumstances shall be considered as grounds for relief if they impede the performance of the contract or makes performance unreasonably onerous: industrial disputes and any other circumstance beyond the control of the parties such as fire, war, mobilization or military call up of a comparable scope, requisition, seizure, currency restrictions, insurrection and civil commotion, shortage of transport, general shortage of materials, restrictions in the use of power and defects or delays in deliveries by sub-contractors caused by any such circumstance as referred to in this Clause.
The above described circumstances shall constitute grounds for relief only if their effect on the performance of the contract could not be foreseen at the time of formation of the contract.
  • 38. The party wishing to claim relief shall notify the other party in writing without delay on the intervention and on the cessation of such circumstance.
If grounds for relief prevent the Buyer from fulfilling his obligations, he shall compensate the Seller for expenses incurred in securing and protecting the goods.
  • 39. Notwithstanding other provisions of these General Conditions, either party shall be entitled to terminate the contract by notice in writing to the other party if performance of the contract is delayed more than six months by reason of any grounds for relief as described in Clause 37.

12. Disputes. Applicable Law

According to NL 92, clauses 40:
  • 40. Disputes arising out of or in connection with the contract shall not be brought before the court, but shall be finally settled by arbitration in accordance with the law on arbitration applicable in the Seller’s country.
  • 41. All disputes arising out of the contract shall be judged according to the law of the Seller’s country.

1. Anvendelse af disse betingelser:

  • Disse generelle salgs- og leveringsbetingelser udgør en integreret del af alle aftaler og leverancer indgået mellem LP Racks ApS og køberen.
  • Køberen ("Køber") kan være både en privatperson ("Forbruger") og en erhvervskunde  ("Virksomhed"), som anmoder om et tilbud fra LP Racks ApS.
  • Ved indgåelse af en aftale accepterer køberen ubetinget gyldigheden af disse vilkår for både nuværende og fremtidige handler.
  • Enhver ordre fra køberen medfører en uforbeholden og eksklusiv accept af disse vilkår, uanset eventuelle modstridende betingelser fra køberen.
  • Eventuelle afvigelser fra disse vilkår er kun gyldige, hvis de er skriftligt accepteret af LP Racks ApS.

2. Bestilling og Aftaleindgåelse

  • Køber kan afgive en bestilling eller anmode om tilbud via webshoppen eller ved direkte kontakt.
  • En aftale er bindende, når LP Racks ApS skriftligt bekræfter modtagelsen af købers ordre.
  • LP Racks ApS forbeholder sig retten til at afvise en ordre inden for 10 dage med skriftlig begrundelse.

3. Betaling

  • Købesummen forfalder ved ordreafgivelsen. Fakturaen udstedes samtidigt.
  • Betaling kan ske via MobilePay (Vipps), betalingskort, bankoverførsel eller PayPal.

    • Betalingskort: Anvendelse af betalingskort i denne butik er sikkert og certificeret af PBS. Dine kortoplysninger kommer aldrig LP Racks ApS i hænde.
    • PayPal: Betaling accepteres kun i DKK. Der pålægges et gebyr på 4%.

  • Faktura accepteres, medmindre der gøres skriftlig indsigelse inden for 10 dage.
  • Ved forsinket betaling pålægges morarente:
    • For forbrugere: Lovpligtig rente
    • For virksomheder: 8% rente jf. "Lov om forsinket betaling"

4. Levering og Risikoovergang

  • Levering sker inden for de oplyste tider, som er vejledende.
  • En ordre bestående af flere varer sendes samlet. Den længste leveringstid er gældende for hele ordren.
  • Risikoen for varen overgår til køber ved modtagelse fra transportøren.
  • Varen skal inspiceres for skader før underskrift. Reklamationer skal anmeldes straks. Hvis der konstateres skade ved modtagelse, skal dette anføres på fragtbrevet. Ved mistanke om skjult skade skal der ligeledes anføres en bemærkning om dette på fragtbrevet.
  • Hvis varen modtages uden forbehold, bortfalder retten til erstatning ved transportskade.

5. Transport og Forsendelse

  • Mindre varer sendes som pakker via PostNord, DSV eller anden transportør.
  • Større varer sendes på paller via DACHSER, DSV eller Danske Fragtmænd.
  • Ved privat levering skal køber være hjemme for at modtage varen og kvittere. Hvis varen stilles uden kvittering, er risikoen købers eget ansvar.

6. Fortrydelsesret

  • Forbrugeren har 14 dages fortrydelsesret fra modtagelse.
  • Fortrydelsesretten gælder ikke for specialfremstillede varer, herunder PREORDER og varer, der er hjemtaget på ordre.
  • Ønske om fortrydelse skal meddeles entydigt via e-mail til LP Racks ApS.
  • Køberen betaler for returnering og bærer risikoen.
  • Refusion sker senest 14 dage efter modtagelse af returvaren. Fragtudgifter og betalingsgebyrer refunderes ikke.
  • Returnerede varer skal være i ubrugt stand og i original emballage.
  • LP Racks ApS kan nægte at acceptere returnerede varer, der er brugt eller beskadiget, eller ikke fremgår i original emballage.

7. Ejendomsforbehold

  • Varerne forbliver LP Racks ApS' ejendom, indtil fuld betaling inkl. alle omkostninger og renter er modtaget.
  • Varerne må ikke sælges, pantsættes eller overdrages inden fuld betaling.

8. Intellektuelle rettigheder:

  • Alle immaterielle rettigheder til tegninger, tekster, designs mv. tilhører LP Racks ApS og må ikke videregives, kopieres eller ændres uden skriftlig tilladelse.

9. Reklamation:

  • Fejl og mangler skal anmeldes i rimelig tid.
    • Synlige fejl: Reklamation skal ske inden for 10 dage efter modtagelse. Synlige fejl er fejl som buler, skævhed, fejl på overflader eller andet, der kan ses eller registreres uden at skulle adskille produktet.
    • Skjulte fejl: Reklamation skal ske hurtigst muligt og senest 10 dage efter opdagelse.
  • Fejl skal dokumenteres over for LP Racks ApS.
  • Garantiperioden er 2 år i Danmark og 1 år i andre lande.
  • Reklamationen dækker ikke:
    • Normal slitage
    • Forkert brug
    • Uheld, forsømmelse eller uautoriserede reparationer
    • Rust på aluminium/stålprodukter
  • Ved reklamation skal varen returneres forsvarligt emballeret for købers regning og risiko.

10. Produktansvar:

Jf. NL 92 pkt. 36:
  • 36. Køberen skal holde sælgeren skadesløs i den udstrækning, sælgeren pålægges ansvar overfor tredjemand for sådan skade og sådant tab, som sælgeren efter dette punkts andet og tredje afsnit ikke er ansvarlig for overfor køberen. Sælgeren er ikke ansvarlig for skade, forvoldt af materiellet:
    • a) på fast ejendom eller løsøre, som indtræder, medens materiellet er i køberens besiddelse,
    • b) på produkter, der er fremstillet af køberen, eller på produkter, hvori disse indgår, eller for skade på fast ejendom eller løsøre, som disse produkter som følge af materiellet forårsager.
I intet tilfælde er sælgeren ansvarlig for driftstab, tabt fortjeneste eller andre økonomiske konsekvenstab.
De nævnte begrænsninger i sælgerens ansvar gælder ikke, hvis han har gjort sig skyldig i grov uagtsomhed.
Hvis tredjemand fremsætter krav mod en af parterne om erstatningsansvar i henhold til dette punkt, skal denne part straks underrette den anden herom.
Sælger og køber er gensidigt forpligtet til at lade sig sagsøge ved den domstol eller voldgiftsret, som behandler erstatningskrav, der er rejst mod en af dem på grundlag af en skade eller et tab, som påstås forårsaget af materiellet. Det indbyrdes forhold mellem køber og sælger skal dog altid afgøres ved voldgift i henhold til punkt 40.

11. Force Majeure:

Jf. NL 92 pkt. 37-39:
  • 37. Følgende omstændigheder medfører ansvarsfrihed, hvis de forhindrer aftalens opfyldelse eller gør opfyldelsen urimeligt byrdefuld: arbejdskonflikt og enhver anden omstændighed uden for parternes kontrol, såsom brand, krig, mobilisering eller militærindkaldelser af tilsvarende omfang, rekvirering, beslaglæggelse, valutarestriktioner, oprør og uroligheder, mangel på transportmidler, almindelig vareknaphed, restriktioner af drivkraft samt mangler ved eller forsinkelse af leverancer fra underleverandører som skyldes de nævnte forhold.
Ansvarsfrihed gælder kun, hvis disse omstændigheder ikke kunne forudses ved aftalens indgåelse.
  • 38. Den part, der ønsker at påberåbe sig ansvarsfrihed, skal straks og skriftligt underrette den anden part om opståen og ophør af force majeure.
Ved force majeure hos køberen skal køberen dække de omkostninger, som sælgeren pådrager sig for at sikre og beskytte materiellet.
  • 39. Uanset hvad der i øvrigt følger af disse leveringsbetingelser, kan enhver af parterne hæve aftalen ved skriftlig meddelelse til den anden part, hvis opfyldelsen hindres i mere end 6 måneder af en force majeure-begivenhed.

12. Tvister og Lovvalg:

Jf. NL 92 pkt. 40-41:
  • 40. Tvistigheder i anledning af aftalen og alt, som har sammenhæng hermed, kan ikke underkastes domstolenes prøvelse, men skal afgøres ved voldgift i overensstemmelse med de lovregler om voldgift, som gælder i sælgerens land.
  • 41. Alle retsspørgsmål, der måtte opstå i anledning af aftalen, skal bedømmes efter loven i sælgerens land.
